Terms of Service

Welcome to Eidrix AI LLC ("Eidrix," "we," "us," or "our"). By accessing or using our website located at eidrix.ai (the "Site") or any services we offer, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully. If you do not agree to these Terms, do not use our Site or services.
1. Acceptance of Terms
By accessing this Site or engaging Eidrix for any service, you confirm that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and agree to comply with and be bound by these Terms and all applicable laws and regulations.
2. Services Offered
Eidrix provides custom technology and digital services, including but not limited to:
- Custom software and operational systems
- Custom web design and development
- AI video production
- Business tools and automation
- Technology consulting and strategy
Specific scope, deliverables, timelines, and pricing for any engagement are outlined in a separate written agreement or proposal between Eidrix and the client.
3. Use of the Site
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Site or its systems
- Introduce malicious code, bots, or automated scrapers
- Reproduce, duplicate, or resell any portion of the Site without written permission
- Interfere with the proper functioning of the Site or its infrastructure
We reserve the right to terminate access to anyone who violates these conditions at our sole discretion.
4. Intellectual Property
All content on this Site — including text, graphics, logos, software, and design — is the intellectual property of Eidrix AI LLC or its licensors, and is protected by applicable copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, distribute, or create derivative works from any Site content without our prior written consent.
For client projects, intellectual property ownership is governed by the terms of your specific service agreement with Eidrix.
5. Client Responsibilities
Clients engaging Eidrix for services agree to:
- Provide accurate and complete information necessary for project execution
- Review and respond to deliverables within agreed timeframes
- Obtain all necessary rights, licenses, or permissions for any third-party materials provided to Eidrix
- Pay all invoices in accordance with agreed payment terms
Delays caused by failure to fulfill these responsibilities may affect project timelines and are not the liability of Eidrix.
6. Payment Terms
Payment terms are outlined in the applicable proposal or service agreement. In general:
- Invoices are due upon the date specified in the service agreement
- Late payments may be subject to fees as outlined in your agreement
- Eidrix reserves the right to pause or suspend work on a project if payment obligations are not met
All fees are non-refundable unless otherwise explicitly stated in writing.
7. Stripe Connect Platform Responsibility
If you connect your Stripe account to Eidrix via Stripe Connect, you understand and acknowledge that:
- Your relationship with Stripe is governed by Stripe's terms of service directly (see stripe.com/legal/connect-account). Eidrix is a platform that operates on your Stripe account with your authorization; Eidrix is not a party to your Stripe agreement and does not assume any of Stripe's obligations to you.
- You retain sole responsibility for the accuracy of any data you provide to Stripe during onboarding (business identity, tax ID, bank account information, beneficial ownership) and for compliance with applicable financial and tax regulations in your jurisdiction.
- Eidrix's role is limited to operating on your Stripe account at your direction through the Eidrix AI assistant. Eidrix does not provide financial, tax, or legal advice; does not act as a payment processor; and does not custody funds.
- Charges, refunds, and other financial actions initiated through Eidrix's interface require your explicit per-action confirmation. You are responsible for reviewing each confirmation card before approving the action and for the accuracy of the parameters you confirm.
- If you dispute a charge, request a refund, or have a billing complaint that involves your Stripe account, you should contact Stripe directly through the Stripe Dashboard or Stripe support. Eidrix can assist by surfacing the relevant transaction records but is not a substitute for Stripe's dispute resolution process.
8. QuickBooks Online Platform Responsibility
If you connect your QuickBooks Online (QBO) company to Eidrix via Intuit's direct OAuth flow, you understand and acknowledge that:
- Your relationship with Intuit is governed by Intuit's terms of service directly (see intuit.com/legal/terms). Eidrix is a platform that operates on your QuickBooks Online company with your authorization; Eidrix is not a party to your Intuit agreement and does not assume any of Intuit's obligations to you.
- You retain sole responsibility for the accuracy of your accounting data — including customer records, invoices, payments, items, tax settings, and the chart of accounts — and for compliance with applicable accounting, tax, and reporting regulations in your jurisdiction. Eidrix does not provide accounting, tax, or legal advice.
- Eidrix's role is limited to operating on your QuickBooks Online company at your direction through the Eidrix AI assistant. Eidrix does not act as a bookkeeper of record, does not custody funds, and does not file tax returns on your behalf.
- Accounting actions initiated through Eidrix's interface that create or modify real accounting state (creating an invoice, recording a payment, updating a customer record, deleting a record) require your explicit per-action confirmation. You are responsible for reviewing each confirmation card before approving the action and for the accuracy of the parameters you confirm.
- Intuit's OAuth grant is subject to Intuit's 180-day reauthorization policy. Eidrix will surface reconnection prompts before the grant expires; if you do not reauthorize within the window, Eidrix will refuse to dispatch against the connection until you reconnect. This is an Intuit-side requirement, not an Eidrix policy.
- If you have a billing complaint, support question, or data dispute that involves your QuickBooks Online subscription or company file itself, you should contact Intuit directly. Eidrix can assist by surfacing the records visible to the AI assistant but is not a substitute for Intuit's support channels.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of an engagement. This includes, but is not limited to, business strategies, technical specifications, and financial information. This obligation survives the termination of any service engagement.
10. Disclaimer of Warranties
This Site and all content are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Eidrix makes no representations or warranties regarding the accuracy, completeness, or fitness for a particular purpose of any content on the Site.
We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Eidrix AI LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or any services provided.
Our total liability for any claim arising under these Terms or related to any service engagement shall not exceed the total fees paid by you to Eidrix in the three (3) months preceding the claim.
12. Third-Party Links and Services
Our Site may contain links to third-party websites or reference third-party tools and platforms. These are provided for convenience only. Eidrix does not endorse and is not responsible for the content, privacy practices, or reliability of any third-party sites or services. Accessing third-party links is at your own risk.
13. Termination
We reserve the right to suspend or terminate your access to the Site or any services at any time, with or without cause, and with or without notice. Upon termination, all provisions of these Terms that by their nature should survive termination — including ownership provisions, warranty disclaimers, and limitations of liability — shall remain in effect.
14. Privacy
Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our collection and use of data as described therein.
15. Modifications to Terms
Eidrix reserves the right to update or modify these Terms at any time. Changes will be reflected by updating the "Last Updated" date at the top of this page. Continued use of the Site after such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
16. SMS / Text Messaging Terms
Eidrix offers an optional SMS text-messaging program. By opting in, you agree to these SMS terms in addition to the rest of these Terms.
- Program. The program name is Eidrix, operated by Eidrix AI LLC. Messages include account and service notifications, reminders, and support related to your use of Eidrix. Message frequency varies.
- Consent. You will receive SMS messages from Eidrix only after you provide express opt-in consent inside the Eidrix application (during onboarding or in your notification settings). Consent is not a condition of purchasing any goods or services. The eidrix.ai website forms collect email only and are not an SMS opt-in point.
- Rates. Message and data rates may apply, according to your mobile carrier's plan.
- Opt-out and help. Reply STOP to unsubscribe at any time; reply HELP for help. After you text STOP, we will send one confirmation message and then stop sending SMS unless you opt in again.
- Carrier disclaimer. Mobile carriers are not liable for delayed or undelivered messages.
- Privacy. Your mobile phone number and SMS opt-in data are handled per our Privacy Policy and are not shared or sold to third parties or affiliates for marketing or promotional purposes.
17. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Twin Falls County, Idaho.
18. Entire Agreement
These Terms, together with any applicable service agreements and our Privacy Policy, constitute the entire agreement between you and Eidrix AI LLC regarding your use of the Site and services. They supersede any prior agreements, representations, or understandings between the parties related to the same subject matter.
